Carousel USA Sales Policy

We encourage you to read the CUSA360 sales policy as you are agreeing to this sales policy when you have us activate your account, and you begin using our software. As of 1 March 2024, all-new Carousel USA customers who have a turntable with MC3 automation will need to obtain a license to use the CUSA360 Web app. Customers who desire to develop custom control software or via a third-party developer must submit a written request to us for review. If approved, we will provide the Carousel USA API/SDK including the Modbus developer’s kit. Licensing for any approved, third-party turntable automation and control applications is subject to an annual fee with 3-year and 5-year Service Licensing Agreements (SLAs).

CUSA360° Web App Sales Policy

The CUSA360° Web app powers and automates our Carousel USA turntables and MC3 controller. As of 1 February 2024, it is no longer available as a desktop-based application. The CUSA360 Web app replaces all previous Carousel USA desktop apps (Mac and Windows) and replaces the Iconasys ShutterStream app.

As of 1 May, 2024, our relationship with Iconasys will be sunset without further support. All Carousel USA customers that have the MC3 automation will be migrated to CUSA360 web app. If your company cannot use the CUSA360 Web app over the Internet for security reasons including if you are a military or a defense contractor, we offer a private-label version that can be remotely installed onto your server at your data center. The CUSA360 Web app is licensed, it is never sold. The customer is required to pay for the CUSA360 app either monthly, or annually.

CUSA360 SaaS Subscriptions Monthly/Annually

Monthly Customers: Business Class under 500 project spins per month

Payment for using the CUSA360 Web app platform for monthly users will require you to have a valid credit card on file for your monthly charges. Customers will need to select the automatic payment date, which is made on the 1st or 15th calendar day of the month.

Annual Customers: Enterprise Class

For annual customers, including Enterprise and ERP Customers, domestic US Customers are encouraged to pay via ACH or bank wire. Customers who elect to use a credit card to pay for their annual subscription will include a 1.5 – 3% credit card processing fee on top of their yearly service agreement.

International customers using Bank Wire must include an additional $70 to cover the conversion to US dollars and the bank wire fee charges.

Cancellation of Your CUSA360 Web app subscription

Month-to-month subscribers

You must contact Carousel USA or MotorStreet using the name and email on your CUSA360 account. Note that any cancellations made after their recurring charge has already taken place are not refundable. Cancellation will stop the next month’s billing process. Cancellation of your CUSA360 service plan does not include any approval for returning your Carousel USA hardware or turntable.

Annual Subscribers

Annual subscribers must notify CUSA360 or MotorStreet within 30-days of their renewal date. The cancellation will still be honored if you cancel your annual CUSA360 account any time after your renewal date. However, you must still pay for the yearly total service cost. Your annual account will expire on the renewal date, and all 360 project spins will be deleted. Cancellation of annual accounts is not entitled to a pro-rated refund

Account Abandonment

Ignoring your CUSA360 monthly or annual payments is not an accepted or recognized form of cancellation of your subscription account(s).

If your employee or authorized content creator is terminated or leaves your firm, your company is still legally responsible for the monthly software subscription costs, late fees, and collection costs, including reasonable attorney fees. Carousel USA will make all reasonable attempts to contact the owners or registered agents to notify them that your subscription account(s) are in arrears and to collect payment for any outstanding balance. Failure to pay after 60 days may result in legal action against your firm, including civil and criminal charges if the amount exceeds $1,500. For habitually late-paying customers, Carousel USA may terminate your account with a 30-day written advance notice.

Custom APP Development, Integrations

For custom work, all work that is to be owned or licensed by you will be covered in a detailed Carousel USA Scope of Work (SOW). Without a signed SOW, any custom work done by Carousel USA, including any Carousel-approved software developer(s) contractors for you, will remain the exclusive property of Carousel USA. All custom work done by Carousel USA, our MotorStreet Partner, or any Carousel USA-approved vendors and contractors is non-refundable. For custom work without a signed SOW, Carousel USA or Customer may cancel any work in progress with written notification to the other. Any outstanding balances, including contractor expenses, software licenses, and hosting charges, must be settled within 30 days to terminate the work in progress. There are no refunds for any custom work. Customers shall not be granted the right to solicit any Carousel USA customer with the intent to sell them on a competitive MC3 and turntable automation and control software.

On-Site Remote Installations of CUSA360 Web APP

For companies, military, law enforcement, and defense contractors that want the CUSA360 Web app to be remotely installed on your server and your data center, the following terms and conditions will apply.

The customer shall provide secure (SSH) or VPN access to allow our team to remotely install and configure the CUSA360 app on your server. The CUSA360 Web APP runs on Linux. We will provide you with the server and OS requirements prior to installation.

The customer may not reverse engineer or make any attempt to decompile the Web app with the purpose of creating a competing or derivative work. If found to violate any of these provisions, legal action can and may be taken to safeguard our intellectual property.

Pricing

Prices shown are in U.S. dollars. If you pay for your order with an international credit card, the purchase price may fluctuate with exchange rates. In addition, your bank or credit card issuer may charge you foreign conversion charges and bank-wire fees, including VAT or duties, which may also increase the overall cost of your purchase. Carousel USA cannot absorb VAT or duties when your purchase arrives. Paying for these costs is the sole responsibility of the Customer.

Trademark Information

The word: CUSA360™ the Carousel USA logo and other trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of Carousel USA in the US and/or other countries. Other trademarks, service marks, graphics, and logos used in connection with the Service may be the trademarks of their respective owners. You are granted no right or license in any of the aforesaid trademarks, and further agree that you shall not remove, obscure, or alter any proprietary notices (including trademark and copyright notices) that may be affixed to or contained within the Service.

PCI Compliance / Credit Card Security

All customer credit cards are guaranteed safe as we only use 100% PCI-compliant methods for any electronic (card) payment method.

Peace of Mind: PCI (Payment Card Industry) compliance refers to 12 security standards businesses must use when accepting, transmitting, processing, and storing credit card data.

This requirement involves encryption of cardholder data, managing firewalls, updating antivirus software, and assigning unique IDs to each person with computer access.

The Payment Card Industry Security Standards Council, an independent body created by the card networks in 2006, manages PCI security standards while enforcing these standards on the card networks and payment processors. Regardless of the number of card transactions processed, every merchant must be PCI compliant. The card networks (Visa, Mastercard, American Express, etc.) can be contacted directly for information about their specific PCI compliance programs.

Carousel USA uses QuickBooks to process customer credit cards. At no time does Carousel USA keep any customers’ credit cards in insecure locations.
